- T|A|A & Associates Founded in 2002 as a legal & Investment Advisory firm provides acquisition, divestiture and transaction advisory services, from transactions evaluation to negotiations, due-diligence compliance, Technical Consultation and Deal Closing Advisory.
- We have a multidisciplinary team that will provide world class advisory services including but not limited to the following:
- Project Evaluation & Review: We aid our clients in determining the authenticity target assets, partners and projects, including due diligence exercises, drafting and vetting preliminary agreements project negotiations, meetings and deal closing.
- Legal & Investor Documentation: Drafting, preparing, and reviewing legal documentation including loan and security documentation. Prepare comprehensive project & Investment marketing material including Information Memoranda (IM), Private Placement Memoranda (PPM) etc. as may be necessary to facilitate the evaluation and fund raising from third party investors.
- Company Formation & Acquisition: We help clients establish and maintain local and offshore LLC companies, subsidiaries & affiliates of foreign companies and joint ventures; we also help float public companies, private placements other capital raisings, take-overs, mergers, reorganisations; and we advise on compliance with corporate legislation; business law and stock exchange requirements.
- Permits & Government Relations: Provide advise on current regulatory framework for client’s target sector; advise and help process applications for government approvals and permits and act as liaison to Federal and State Ministries Departments and Agencies.
- Community Relations & Compensation – Provide legal advice and work with various clients on issues relating to Stakeholder Community relations and compensation of host communities. We particularly have experience working in the South/South Niger Delta Communities and we have negotiated compensation on behalf of various oil companies with stakeholder communities in Rivers, Delta, Bayelsa, Imo, Akwa Ibom, Cross Rivers, and Ondo etc.
- Litigation and Arbitration – Disputes relating to commercial transactions, banking, intellectual property, construction, contracts, trade, land law, and all other aspects of the Nigerian practice. And representing clients at all various levels of courts in Nigeria, particularly but not limited to civil litigation.
